FORMATION OF CONTRACT
The contract between the Seller and the Purchaser comprises the ‘Job Order’ Acknowledgement and these Terms and Conditions. Any other terms proposed by the Purchaser are excluded unless otherwise specifically agreed in writing by the Purchaser and the Seller.
PAYMENT TERMS
- We require 50% downpayment of the total amount indicated on the formal quotation, prior to the manufacturing of the goods. Full payment should be made before we ship the products or upon pick up.
- Payment can be made through bank deposit, G-Cash, or you can arrange a visit on our company address for Cash payment.
- Check payments need to be cleared first before we start the manufacturing process for 50% down payment, and/or before we release the finish products.
- The maximum time we can provide as grace period for the remaining balance to be paid is 14 business days after the production deadline.
- Other payment terms can be made by the Seller and the Purchaser for high quantities, that will be agreed in writing by both the Purchaser and the Seller, and must be included in the Job Order/Formal Quotation.
PRICES
- Prices are given through formal quotation.
- Prices may varies depending on the Size, paper, logo/design, quantity, and other factors.
- Prices quoted on formal quotation are VAT inclusive.
LEAD TIME & DELIVERY
Lead time of production is included in the Job Order/Formal Quotation. Production time starts from the day that 50% down payment has been made. Master Cedie Enterprises do not deliver customer orders, instead, we use shipping couriers such as Lalamove, Grab, APCargo, etc. Shipping Fees are shouldered by the customer. You can also pick up your order from our Business Adress. Purchaser shall bear all risk, loss or damage upon delivery of products using 3rd party shipping/delivery couriers.
WARRANTIES & SAMPLE ORDER
All products shall be examined by the purchaser upon receipt of orders. If products are damaged upon receipt or do not conform to agreed specifications, products shall not be moved from point of delivery, and must inform the Seller within two (2) business days.
Master Cedie Enterprises offers sample paper bag with the same specification of products you require for P500.00. In the said sample, printing process is different from the actual order. There may be a slight difference between the sample and the actual order when it comes to the design/print. If the purchaser does not require sample paper bags, Master Cedie Enterprises will send you an actual image layout of the paper bag design for the purchaser’s approval. MCE does not provide warranties on printing if the design is approved.
If the products are damaged such as loosen glue, wrong handle, different lamination, loosen handle, Master Cedie Enterprises will have them fixed. If fix is not an option, we will then replace them.
CANCELLATION OR CHANGE ORDERS
Master Cedie Enterprises does not allow cancellation or change of orders. Once downpayment has been made, orders listed in the Job Order/Formal Quotation are firmed and cannot be cancelled, nor changed by the Buyer, unless agreed by both parties.
OVERDUE ACCOUNTS
If the Purchaser is unable to pay the remaining balance after the 14 business days grace period of the production deadline, 10% interest of the total amount will be added on the remaining balance every 5 days. This does not prevent us from pursuing payment of overdue accounts at any time after payment becomes due and shall be in addition to and without prejudice to any other rights we may have against you. We reserve the right to charge you for any legal or collection charges where it is necessary to obtain payment from you of an overdue account through a third party or Court proceedings.
PATENT OR COPYRIGHT INFRINGEMENT
Master Cedie Enterprises takes no responsibility for the suitability of purchaser’s designs or graphics. If any products are manufactured or sold by Master Cedie Enterprises to meet purchaser’s particular specifications or requirements and are not part of Master Cedie Enterprises’ standard line offered by it to the trade generally in the course of Master Cedie Enterprises’ business, purchaser agrees to defend, protect and save harmless (including paying reasonable attorney’s fees and costs) Master Cedie Enterprises against all suits at law or in equity and from all damage, claims and demands for actual or alleged infringement or violation of any third party’s trade secrets, proprietary information, trademark, copyright or patent rights because of the manufacture or sale of the Products covered hereby.
